It goes without saying that these companies are not exactly models of good corporate governance, and this is being reflected in these excessive and largely unjustified pay packages. In my experience, when you see this, it’s just the tip of the iceberg of dysfunctional governance practices, which is one of the reasons I have taken the pay issue more seriously than other corporate governance experts.
The lack of any strong, ethics-based criticism among those quoted in this story was truly breathtaking and most disappointing to someone who has been carefully watching the evolution of private enterprise and public trust for more than 40 years.
